The terms for the websites we build and look after. Plain English, no surprises — the same deal you sign.
These terms govern the websites we build and look after for you. They apply from the moment you accept a quote or pay a setup fee, and together with your quote they form the whole agreement between us. In them, “we” and “us” means Autosettle; “you” means the business we’re building the site for.
A Business Dayis Monday to Friday, 9am–6pm Malaysian time, excluding Kuala Lumpur public holidays.
The one-time setup fee depends on the tier you choose — Starter RM500, Signature RM1,000 or Showcase RM2,000. It’s payable in full before we begin, and covers the design, build and launch of a site of up to six pages, including two rounds of revisions. The tiers differ only by the visual assets (stills, motion and video) we produce.
You supply your logo, text, images and other content. If we haven’t received what we need within 30 daysof the setup fee being paid, we may pause the project; the setup fee isn’t refundable, and we’ll hold your materials for 90 days so you can restart without paying again. Extra pages at build are RM150 each; a fully custom design is RM800 on top of the setup fee.
After launch, one flat plan of RM200 per month keeps the site running. Every plan includes hosting, an SSL certificate, daily backups, security patches, uptime monitoring, and the registration and renewal of one standard domain (covered up to RM50 a year), plus a monthly visitor report.
It also includes four small content changes each month (about one a week). Fixing broken links or forms, restoring the site, applying security updates and improving speed never count against that allowance and are always free. Email mailboxes aren’t included, but we’ll set up Google Workspace or Zoho on your own account at no charge.
The simple rule: editing what your site says is included; producing new visual assets is not.Changing text, prices or opening hours, swapping in a photo you send us, tweaking colours or fonts within the existing design, or publishing a post you’ve written all count as one of your four monthly changes.
Anything where we produce a new asset (a still, motion clip or video), or anything that changes what your site does— a login, a payment, online booking, a new page or layout — is quoted and approved before we start, so you always know the price up front. Unused changes don’t carry over. If you need more in a month, you can wait until the allowance resets or pay RM150 per hour (30-minute minimum).
The care plan runs for a minimum of twelve months from the day your site goes live, then continues month to month. After the minimum term, either of us may end it with 30 days’ written notice.
We may change the plan fee once in any twelve-month period, on 30 days’ notice. If you don’t accept the new fee, you may end the agreement before it takes effect at no charge.
Plan fees are paid in advance — monthly on the anniversary of your launch date, or annually if you choose. Annual billing is eleven months’ fee for twelve months of service, paid up front. Invoices are due within 7 days. All fees are exclusive of any government taxes that apply.
If an invoice goes unpaid, we’ll write to you at 14 days; at 30 days we may suspend the site (it stops being visible, but isn’t deleted); at 60 days we may end the agreement. Part months aren’t refunded, except that if we end an annual agreement for a reason that isn’t your fault, we refund the unused months less one.
Your domain is registered in your business’s name— it’s your asset, and we’ll transfer it to your own registrar account whenever you ask. We cover a standard domain up to RM50 a year; if the name you want costs more (for example a .com.my), we’ll tell you the amount in advance and you pay only the part above RM50.
The site is hosted on infrastructure we manage. We don’t provide server or FTP access, because shared access is how sites break in ways neither of us can trace. Please don’t modify the site yourself without telling us first; if something breaks as a result, we’ll diagnose it free and repair it at RM150 per hour.
You own your content — text, images, logo and brand — and your domain, whatever happens to this agreement. We own the templates, frameworks and reusable components underneath the site, and may use them for other clients.
You may buy the site outright at any time. Everything you’ve paid — setup, plan fees and any extras — counts towards owning it. The buyout price is (RM4,000 − everything you’ve paid) + RM200 transfer, with a minimum of RM200. Once your total payments reach RM4,000, the buyout is simply the RM200 transfer fee. On payment you receive a working export of the site files, database and content, and we transfer the domain to you.
We aim for 99.5% availabilityeach month, excluding planned maintenance we’ve told you about and failures at third parties outside our control. If the site is continuously unavailable for more than 48 hours because of something we did, we credit you one month’s plan fee.
Support is available on Business Days; a site that’s down is an emergency and we respond at any hour. Please give us one named contact who can approve work and answer questions.
Our total liability under this agreement is limited to the fees you’ve paid us in the twelve months before a claim. We’re not liable for lost profits, lost business, data beyond the most recent backup, or failures of third-party services we don’t control.
You confirm you have the right to use the content you give us, and you ’ll cover us against claims arising from it — including copyright, trademark and defamation claims. Nothing here limits any liability that can’t be limited by Malaysian law.
Either of us may end the agreement under clause 5 once the minimum term has passed. We may end it immediately if an invoice is more than 60 days overdue, if the site is used for anything unlawful, or if our staff are treated abusively.
When it ends, you may buy the site out (clause 8). If you don’t, the site is taken offline 30 days after the end date and we transfer your domain to you. We keep a full backup for 30 days after the end date so you can still buy out during that window; after that it’s deleted.
We handle personal data in line with the Personal Data Protection Act 2010. Where your site collects data from your customers — enquiry forms and similar — you are responsible for that data and we process it on your instructions. We keep backups on infrastructure we control and never sell, share or use your data for anything except running your site.
Each of us keeps the other’s commercial information confidential. We may name you as a client and show your site in our portfolio, unless you ask us in writing not to.
This agreement, with your quote, is the whole agreement between us and replaces anything discussed beforehand. Any changes to it must be agreed by both of us in writing. If any part is found unenforceable, the rest stays in force. Neither of us is liable for failures caused by events outside our reasonable control.
This agreement is governed by Malaysian law, and the courts of Malaysia have jurisdiction.
